What is an IRS tax ID number?

You can think of it like a Social Security number for your business. An IRS tax ID number is officially termed an Employer Identification Number, EIN for short. When and why do I need a tax ID number?

Organizations and businesses need a tax ID when they first are formed. Most business permits, business bank accounts, sales tax accounts, state tax accounts, loans, and business credit applications require one. I’ve heard applications for a tax ID are sometimes rejected. Why is that?

It is happening more frequently since fall 2015. Common reasons:

  1. An organization with a similar name exists somewhere else in the US.
  2. A person's name is not an exact match with the name on record for the listed IRS Social Security number.
  3. The organization already has a tax ID.

There are many other reasons for rejection, such as a disallowed abbreviation in the address or technical problems within the IRS. The Tax ID Filing Group knows the best ways to speedily solve the problems that crop up.

Might I need two tax ID numbers?

Generally not. Each establishment should have only one tax ID, no more. When you buy a business, stop using the old tax ID and get a new one. Consult your tax advisor if you think your organization needs two.

The Basics of EINs

The IRS wants to keep track of your new company or organization through a single unique number it assigns. Nearly every kind of employer in the US needs one, too, though most people paying household workers can be exempted.

This unique number, the federal Employer Identification Number (EIN, also called Tax ID Number) is good for the life span of your organization.

Quoting from the Tax-ID-Group FAQ on this page, “When and why do I need a tax ID number?

“Organizations and businesses need a tax ID when they first are formed. Most business permits, business bank accounts, sales tax accounts, state tax accounts, loans, and business credit applications require one. A sole proprietor (a business owner who is not a registered company) or a simple partnership also usually needs one, and Schedule C of Form 1040 often requires it. To pay payroll tax on employees requires a tax ID.”

You need a new tax ID number if you

  • form an LLC, corporation, or other business entity

  • form a partnership

  • buy an LLC or other business entity (Do not use the previous owners’ EIN, to avoid tax liability.)

  • have a corporation that turns into a sole proprietorship or partnership

  • have a foreign business that starts to operate in the US

  • go into bankruptcy

  • establish a plan for pension, profit-sharing, or retirement

  • become a “subsidiary” of a corporation (a “division” is okay with no separate EIN)

  • a partner takes over a partnership and it becomes a sole proprietorship

And oddly, if you’re reporting gambling winnings, you need a tax ID.

You generally don’t need a new tax ID number if you only

  • change the name of your business or relocate

  • set up a “DBA” (doing-business-as name)

  • operate multiple businesses in multiple locations within that business entity

A responsible party is necessary

Usually one person must be listed as the “principal responsible party” for the business, a person who is an owner, CEO, or executor, and so on. That person must have a Social Security number or Individual Taxpayer Identification Number (ITIN). As of May 13, 2019, only individuals with tax ID numbers may request an EIN as the responsible party on the application. The IRS no longer allows entities to be the responsible party.

By the way, a temporarily appointed person (a nominee) cannot be a responsible party, according to the IRS. If you agree to be a responsible party temporarily for an organization that is not your own, tax liability could result, so that’s inadvisable.

Using an EIN

Use the EIN on all documents you send to the IRS. Don’t use someone else’s tax ID. You wouldn’t want to be considered liable for someone else’s taxes, would you?
